1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of Mandatry's websites, applications, APIs, and related services (together, the "Services"). By accessing or using the Services, you agree to these Terms.
If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation. In that case, "you" refers to that organisation.
2. What Mandatry Provides
Mandatry is a structural regulatory infrastructure platform designed to decompose regulatory frameworks into canonical atomic obligations and normalise cross-jurisdictional compliance architecture.
Mandatry does not replace operational GRC systems, does not provide legal advice, and does not guarantee compliance outcomes. Outputs from the Services are informational and must be validated by qualified professionals for your specific circumstances.
3. Accounts and Security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify us of any unauthorised use or suspected security incident involving your account.
4. Acceptable Use
You must not:
- use the Services unlawfully or in a way that infringes rights of others;
- attempt to bypass or defeat security or access controls;
- reverse engineer or attempt to extract source code, except to the extent prohibited by law;
- introduce malware or harmful code;
- interfere with or disrupt the Services (including rate-limit evasion);
- use the Services to build a directly competing product by copying non-public components of Mandatry.
5. API Keys and API Use
If you access Mandatry via API:
- keep API keys secure and do not embed them in public repositories or client-side code;
- rotate keys if exposed or suspected compromised;
- comply with any documented rate limits/quotas and usage restrictions.
We may suspend or throttle API access to protect the Services or to address abuse, security risk, or legal compliance.
6. Customer Data and Output
"Customer Data" means data you submit to the Services. "Output" means results generated by the Services based on Customer Data.
- You retain rights to Customer Data.
- You may use Output for internal business purposes, subject to these Terms and any commercial agreement.
- Mandatry retains all rights in the Services, software, documentation, taxonomies, methodologies, and any aggregated or de-identified analytics derived from Service operation (excluding identification of you or your organisation).
You are responsible for ensuring you have rights to submit Customer Data and for reviewing Output before relying on it for compliance, legal, or business decisions.
7. Confidentiality
Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information using reasonable care and to use it only to perform obligations under these Terms. Confidentiality does not apply to information that is public, independently developed, or rightfully received from a third party.
8. Third-Party Services
The Services may use third-party infrastructure and vendors (see Privacy Policy and Security page). Mandatry is not responsible for third-party services that are outside our control.
9. Fees (If Applicable)
If you purchase a subscription or paid Services, fees and payment terms will be presented at checkout or in an order form. Fees exclude taxes (such as VAT), which may be added where applicable.
10. Disclaimers
THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANDATRY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
MANDATRY DOES NOT WARRANT THAT OUTPUT IS COMPLETE, ERROR-FREE, OR SUITABLE FOR LEGAL OR COMPLIANCE DETERMINATIONS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- MANDATRY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITY.
- MANDATRY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MANDATRY FOR THE SERVICES IN THAT PERIOD (OR £100 IF YOU HAVE NOT PAID ANY FEES).
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.
12. Suspension and Termination
We may suspend access to the Services if:
- required by law;
- you breach these Terms;
- we reasonably believe your use poses a security risk or threatens the integrity of the Services;
- payment is overdue for paid services.
You may stop using the Services at any time. We may terminate for material breach not cured within a reasonable period after notice. Upon termination, access ends and we may provide a reasonable export window for Customer Data where feasible.
13. Changes to the Services or Terms
We may update the Services and these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., in-app or via email). Continued use after the effective date means you accept the updated Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction.
